1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and aUS2001 LLC, doing business as aBest.co (“Company,” “we,” “us”), a limited liability company organized under the laws of the State of Wyoming, USA. By accessing or using the website at https://www.abest.co or any associated services, features, or platforms (collectively, the “Platform”), you agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease use of the Platform.

3. Platform Purpose & Role

aBest.co is a digital intermediary marketplace that facilitates introductions and information exchange between parties interested in real estate transactions, business sales and acquisitions, investment opportunities, capital participation, startup founding, and related international business activities. The Company acts solely as a facilitator and intermediary. We are not a party to any transaction, investment, partnership, or agreement between users. We do not represent, warrant, or guarantee any transaction outcome, investment return, or business result.

4. User Roles

The Platform offers six distinct user roles: Founder, Investor, Capital Partner, Seller, Business, and Explorer. Each role enables access to specific features, submission forms, and networking opportunities. By selecting a role and submitting a profile, you represent that all information provided is truthful, accurate, and complete. You may change your role at any time through your Profile. Role submissions are subject to review and approval by aBest.co at its sole discretion. aBest.co reserves the right to reject, suspend, or remove any submission without explanation.

5. Accounts & Registration

To access certain features, you must create an account. You agree to provide accurate registration information, maintain the security of your credentials, and promptly notify us of any unauthorized access. You are solely responsible for all activity under your account. We reserve the right to suspend or terminate accounts at our sole discretion, with or without notice, for any violation of these Terms or applicable law.

6. No Financial, Legal, or Investment Advice

Nothing on this Platform constitutes financial advice, investment advice, legal advice, tax advice, or any other professional advice. aUS2001 LLC is not a registered investment adviser, broker-dealer, financial planner, attorney, or accountant under U.S. federal or state law or any other jurisdiction. All content, including project descriptions, interest rate models, return projections, and Capital Partner participation terms, is provided for informational and illustrative purposes only. You should consult your own qualified professionals before making any financial, legal, or business decision.

7. Capital Partner & Investment Disclaimer

Capital Partner participation interests described on this Platform have not been registered under the U.S. Securities Act of 1933, as amended (“Securities Act”), or any state securities laws. Such interests are offered exclusively to non-U.S. persons as defined under Regulation S (17 CFR §230.902(k)) of the Securities Act, or where applicable, to “accredited investors” as defined under Rule 501 of Regulation D. U.S. persons may not participate without prior written authorization. Nothing on this Platform constitutes an offer to sell or a solicitation to buy any security in any jurisdiction where such offer would be unlawful. Projected returns (e.g., 5% p.a.) are illustrative only, not guaranteed, and do not constitute a promise of performance. All capital participations carry risk of partial or total loss. aBest.co does not hold a license as a broker-dealer, investment adviser, or money transmitter under U.S. federal or state law.

8. Real Estate & Business Transactions

Property listings, business-for-sale listings, and related content displayed on the Platform are provided by users and third parties. aBest.co does not verify, endorse, or guarantee any listing, valuation, title, zoning status, financial information, or representation made by sellers or buyers. All real estate and business transactions are conducted independently between parties. aBest.co bears no responsibility for any transaction, loss, or dispute arising therefrom.

9. User Submissions & Content

By submitting content (project descriptions, role profiles, documents, messages) to the Platform, you grant aUS2001 LLC a worldwide, royalty-free, non-exclusive license to use, display, and process such content solely for Platform operation purposes. You represent that you own or have full rights to all submitted content and that it does not infringe any third-party rights or violate any law. aBest.co reserves the right to remove any content at its sole discretion without notice. Submission of a proposal or project does not create any contractual obligation on aBest.co to review, respond to, or act upon such submission.

10. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) submit false, misleading, or fraudulent information; (c) impersonate any person or entity; (d) use automated systems, bots, or scrapers without prior written consent; (e) attempt to circumvent security measures; (f) transmit malicious code; (g) engage in market manipulation, money laundering, or fraud; (h) violate any applicable securities, anti-money-laundering, or anti-fraud laws. Violations may result in immediate account termination and referral to law enforcement.

11. Intellectual Property

All content on this Platform — including but not limited to text, design, logos, graphics, code, data structures, and the “aBest.co” brand — is the exclusive property of aUS2001 LLC and is protected by U.S. and international copyright, trademark, and trade secret laws. No content may be copied, reproduced, distributed, published, or commercially exploited without the prior written consent of aUS2001 LLC. All rights reserved.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. ABEST.CO MAKES NO WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL aUS2001 LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF aUS2001 LLC TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED USD $100.00 (ONE HUNDRED U.S. DOLLARS).

14. Indemnification

You agree to defend, indemnify, and hold harmless aUS2001 LLC and its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any content you submit to the Platform; or (e) any transaction, investment, or business arrangement entered into through or as a result of using the Platform.

15. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Sheridan, Wyoming, USA, or remotely. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Each party shall bear its own costs unless the arbitrator finds the claim frivolous, in which case the losing party shall bear all costs. Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict-of-law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, USA.

17. International Users

The Platform is operated from the United States. If you access the Platform from outside the U.S., you do so on your own initiative and are responsible for compliance with your local laws. The Company makes no representation that the Platform or its content is appropriate or available in all jurisdictions. Access from territories where the Platform's content is illegal is prohibited.

18. Privacy

Your use of the Platform is subject to our Privacy Policy, available at /datenschutz. By using the Platform, you consent to the collection and use of information as described therein.

19. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

20. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any other policies posted on the Platform, constitute the entire agreement between you and aUS2001 LLC regarding use of the Platform and supersede all prior agreements.
